1. Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (the “Client”) and Infytrix Ecom Private Limited (“Infytrix”, “we”, “us”, or “our”). By registering for or using any Infytrix service, including the Mark8IQ platform and related tools, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Services
Infytrix provides e-commerce intelligence, analytics, and financial reconciliation services that aggregate and present business data from connected marketplace accounts. Our services are designed for use by authorised sellers, brand manufacturers, and e-commerce professionals operating on online marketplaces.

The specific features, data integrations, and capabilities available to a client are determined by their subscription plan and the authorisations granted by the client. We reserve the right to update, modify, or discontinue specific features with reasonable notice.

3. Account Registration and Security
To use our services, you must register and maintain an active account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated

• Maintain the confidentiality of your login credentials and not share them with unauthorised individuals

• Immediately notify us at security@infytrix.com if you suspect unauthorised access to your account

• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts where we have reason to believe credentials have been compromised or the account is being misused.

4. Marketplace Account Integrations
A core feature of our platform is the ability to connect third-party marketplace accounts to retrieve, process, and display your business data. By connecting a marketplace account, you represent and warrant that:

• You are the authorised account holder or have explicit permission from the account holder to grant us access

• Your use of our integration services complies with the terms, policies, and developer guidelines of the relevant marketplace or platform

• You will only authorise access to data that you have the legal right to share with us

• You will promptly revoke our access if you no longer wish us to retrieve data from a connected account

We access third-party marketplace data exclusively through official, authorised API programmes and only within the scope of permissions you explicitly grant. We comply with the developer agreements and data usage policies of each platform we integrate with.

5. Data Handling
Our collection, use, storage, and disposal of your data — including marketplace data accessed on your behalf — is governed by our Privacy Policy, available at https://www.infytrix.com/privacy-policy, which is incorporated into these Terms by reference.

Key commitments with respect to your data:

• Your marketplace and business data is used solely to deliver the services you have subscribed to

• We do not sell, share, or otherwise monetise your data for the benefit of third parties

• You retain ownership of your data at all times

• Upon account termination, your data will be deleted in accordance with our retention policy

6. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use our platform to access, collect, or process data belonging to accounts you are not authorised to access

• Attempt to reverse-engineer, scrape, or circumvent any technical limits of our platform or the APIs we use

• Use our services in a manner that violates the terms of any connected third-party platform

• Upload, transmit, or introduce malicious code or content that could harm our platform or other users

• Resell or sublicense access to our services without our prior written consent

7. Intellectual Property
All intellectual property in the Infytrix platform — including software, design, dashboards, reports, and documentation — belongs to Infytrix. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes. Your data remains your property.

8. Service Availability
We aim to maintain high availability of our platform but do not guarantee uninterrupted service. Scheduled maintenance, third-party API changes, or events beyond our control may affect availability. We will endeavour to provide advance notice of planned maintenance.

9. Limitation of Liability
Infytrix provides analytics and reporting services to support your decision-making. We are not responsible for business decisions made on the basis of our reports or data. To the fullest extent permitted by applicable law, our aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Infytrix in the three months preceding the claim.

10. Indemnification
You agree to indemnify and hold harmless Infytrix and its officers, employees, and agents from any claims, damages, or expenses including legal fees arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

11. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the platform. Continued use of our services after any update constitutes your acceptance of the revised Terms.

12. Termination
Either party may terminate the service relationship with written notice in accordance with the applicable subscription agreement. Upon termination, your access to the platform will cease and your data will be handled in accordance with our Privacy Policy retention and deletion provisions.

13. Governing Law
These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
